TLT advises on US$115million disposal

TLT has advised global technology company Sword Group SE on the US$115million sale of its insurance software division, Sword Insurance, to private equity firm Thomas H. Lee Partners. The deal completed on 6th July 2011.

TLT advised on all UK elements of the transaction including all corporate, property, employment, litigation and commercial aspects. The 26-strong TLT team was led by corporate partner Richard Tall and corporate associate Alex Watson.

Commenting on the deal, Richard Tall says, "TLT has a strong relationship with Sword Group, having advised them for a number of years now, and we're delighted that we've been able to help them complete what was a complex deal in a relatively short period of time."

Sword was represented by Mayer Brown in the US and France. Carter Ledyard Milburn (New York) and Lexcase (Paris) provided additional support.

TLT's corporate team acts for an impressive list of UK and international clients from FTSE listed Plcs through to venture capitalists, banks and other financial institutions. In the last 18 months the 18-strong team has advised on landmark deals including the sale of the private bank Church House Trust plc to Virgin Money, the high profile sale of World Snookers' commercial rights to Matchroom Sport, and advised international real estate advisor Savills on the acquisition of the niche London commercial property and retail agency Thomas Davidson & Partners.
